1.1 This End User Agreement ("Agreement") governs your access to and use of the Partnered website, mobile application, and related services (collectively, the "Services").
1.2 The Services are operated by Partnered Holdings Inc., a corporation organised under the laws of the State of Delaware ("Partnered", "Company", "we", "us", "our").
1.3 By creating an Account, purchasing a Subscription, or accessing or using the Services, you agree to be legally bound by this Agreement and the following policies, which are incorporated by reference:

1.4 If you do not agree to this Agreement, you must not use the Services.
2. Definitions
For purposes of this Agreement:
2.1 "Account" means a registered user profile created to access the Services.
2.2 "Affiliate" means any entity controlling, controlled by, or under common control with Partnered.
2.3 "Applicable Law" means all applicable federal, state, and international laws, including Delaware law and the Australian Consumer Law where applicable.
2.4 "Subscription" means any paid recurring access to premium features of the Services.
2.5 "User Content" means any content, information, text, images, video, audio, or materials submitted by you.
2.6 "Company Content" means all content owned or licensed by Partnered, excluding User Content.
2.7 "Virtual Items" means limited licence digital features such as profile boosts or credits.
2.8 "Loss" means any claim, liability, damage, cost, expense, fine, or penalty.
3. Nature of the Services
3.1 Partnered provides an online introduction platform facilitating introductions between consenting adults.
3.2 Partnered does not:
Arrange or supervise meetings
Provide escorting, companionship, employment, or financial services
Guarantee compatibility, relationship outcomes, or responses
Verify income, wealth, background, or identity
3.3 The Services provide access to platform features only.
3.4 You acknowledge that Partnered is not responsible for user conduct on or off the platform.
4. Eligibility and Representations
4.1 You represent and warrant that:
You are at least 18 years old
You have full legal capacity
You are not subject to sanctions
You have not been convicted of violent or sexual offences
You are using the Services in your personal capacity
All information provided is accurate
4.2 You acknowledge that Partnered relies on these representations.
5. Account Registration and Security
5.1 You are responsible for maintaining the confidentiality of login credentials.
5.2 You are responsible for all activity conducted through your Account.
5.3 Accounts may not be sold, transferred, or shared.
5.4 Partnered may suspend Accounts where sharing is suspected.
6. User Conduct
You agree not to:
6.1 Harass, threaten, or defame other users.
6.2 Impersonate any person.
6.3 Solicit money, cryptocurrency, investments, gifts, or financial transfers.
6.4 Engage in sugar dating, transactional arrangements, or commercial activity.
6.5 Upload unlawful, explicit, infringing, or harmful content.
6.6 Use automation, bots, scraping, or reverse engineering.
6.7 Initiate fraudulent chargebacks.
Violation may result in immediate suspension.
7. Content Rights and Licence
7.1 You retain ownership of User Content.
7.2 You grant Partnered a worldwide, non exclusive, transferable, sublicensable, royalty free licence to use User Content to operate, improve, promote, and secure the Services.
7.3 This licence survives termination.
7.4 Partnered may remove or restrict content where reasonably necessary.
8. Platform Control and Enforcement
8.1 Partnered may, acting reasonably:
Remove content
Restrict features
Investigate misuse
Suspend or terminate Accounts
Implement automated moderation systems
Geo restrict access
8.2 Nothing obligates Partnered to monitor all activity.
9. Subscriptions and Billing
9.1 Subscriptions automatically renew unless cancelled.
9.2 You authorise recurring charges to your Payment Method.
9.3 Fees provide access only and do not guarantee engagement or outcomes.
9.4 If payment fails, Partnered may suspend access.
9.5 If you initiate a chargeback:
Your Account may be suspended
Outstanding balances may be recovered
Collection costs may be pursued
10. External Platform Purchases
10.1 Purchases via Apple App Store or Google Play are subject to those platforms' billing terms.
10.2 Refunds must be requested from the relevant platform.
10.3 Apple and its subsidiaries are third party beneficiaries of this Agreement.
11. Refunds
11.1 All payments are final unless required by Applicable Law.
11.2 For Australian users, rights under the Australian Consumer Law are preserved.
12. Virtual Items
12.1 Virtual Items are limited licence rights.
12.2 They have no cash value and are non transferable.
12.3 They are non refundable except where required by law.
13. Assumption of Risk
13.1 You acknowledge that:
Online interactions carry inherent risk
Partnered does not supervise meetings
Partnered does not guarantee identity or intentions
13.2 You assume all risks arising from interactions with other users.
14. No Duty of Care and No Reliance
14.1 To the fullest extent permitted by law, Partnered does not assume a duty to protect you from third-party conduct.
14.2 You agree that you do not rely on any representation outside this Agreement.
14.3 No fiduciary, advisory, or matchmaking relationship is created.
15. Disclaimer of Warranties
15.1 The Services are provided on an as is and as available basis.
15.2 To the fullest extent permitted by law, Partnered disclaims all implied warranties.
15.3 For Australian users, consumer guarantees under the ACL apply.
16. Limitation of Liability
16.1 To the fullest extent permitted by law: Partnered and its Affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
16.2 Total aggregate liability is limited to the greater of:
USD 100; or
The amount paid by you in the 12 months preceding the claim.
16.3 This limitation survives termination.
17. Indemnification
17.1 You agree to indemnify and hold harmless Partnered, its Affiliates, directors, officers, employees, and contractors from Loss arising from:
Your breach of this Agreement
Your misuse of the Services
Your User Content
Your violation of Applicable Law
17.2 This obligation survives termination.
18. Intellectual Property and DMCA
18.1 Partnered respects intellectual property rights.
18.2 Claims of infringement may be submitted to info@partnered.me.
18.3 Repeat infringers may have Accounts terminated.
19. Force Majeure
Partnered is not liable for failure or delay caused by events beyond reasonable control, including system outages, cyber attacks, payment processor failure, or government action.
20. Termination
20.1 Partnered may suspend or terminate Accounts where reasonably necessary.
20.2 Upon termination:
Access ceases
Virtual Items are forfeited
Certain clauses survive
21. Governing Law
21.1 US Users: Governed by Delaware law.
21.2 Australian Users: Nothing excludes rights under the Australian Consumer Law.
21.3 Courts of competent jurisdiction apply subject to mandatory consumer protections.
22. Informal Dispute Resolution
22.1 Parties agree to attempt good faith resolution within 60 days before formal proceedings.
22.2 Urgent relief may be sought where necessary.
23. Survival
Clauses concerning:
Intellectual property
Indemnification
Limitation of liability
Governing law
Dispute resolution
survive termination.
24. Entire Agreement
This Agreement constitutes the entire agreement between you and Partnered Holdings Inc.
If any provision is unenforceable, the remainder remains in effect.
